Summary: The Contracts Counsel will play a critical role in negotiating, drafting and managing the life cycle of  key contracts including: commercial, M&A, sales, operations and real estate contracts.  The Contracts Counsel will work closely with the leaders of Procurement, M&A, Sales, Real Estate, Construction, Operations and other stakeholders to streamline negotiations, reduce deal closure timelines, and support the company’s strategic growth.

 

 

Essential Duties and Responsibilities:

Key responsibilities include, but are not limited to:

 

Negotiate & Draft Contracts:

  • Draft and negotiate corporate and commercial agreements, including procurement, event contracts, sponsorships, marketing, IT, and other vendor contracts.
  • Support contract negotiations and due diligence related to M&A, ensuring alignment with the company’s growth strategy.
  • Support the life cycle of contracts, transitioning from Letter of Intent (LOI) to definitive agreement  negotiations, to deal implementation and compliance.

Process Development & Strategic Improvements:

  • Create, refine, and implement standardized legal processes to optimize efficiency in contract negotiations, contract management, and compliance in operations.
  • Develop a structured approach for managing LOI-to-contract execution, reducing deal closure timelines.
  • Build playbooks and guidelines for recurring types of matters, providing a framework for internal teams and external partners.
  • Identify and implement process improvements that help scale legal operations while ensuring compliance and mitigating risks.
  • Work closely with internal teams to align legal processes with broader company objectives.
  • Provide strategic guidance to implement new technologies to reduce legal bottlenecks in contract negotiations.
  • Collaborate with internal stakeholders to ensure seamless deal execution.

Autonomy & Leadership

  • Operate with an elevated level of autonomy, with guidance from established negotiation playbooks.
  • Work with leadership to refine legal strategy for recurring issues and establish best practices.
  • Manage external counsel as needed for complex transactions and negotiations.

 

 

Qualifications

  • Proven experience in commercial contracting and M&A, with real estate, intellectual property or data privacy experience a plus.
  • Ability to streamline contract negotiations and reduce deal timelines.
  • Excellent negotiation and contract drafting skills with attention to detail.
  • Ability to manage multiple transactions simultaneously in a fast-paced environment.
  • Strong business acumen with an ability to provide strategic legal guidance.
  • Effective communication and stakeholder management skills, with experience working cross-functionally.
  • Experience working with large-scale strategic transactions.

 

Education and Experience

Required:

  • Juris Doctor from an accredited law school.
  • Minimum 5-years of experience in a reputable law firm handling transactions.
  • Drafting and negotiating complex commercial agreements.
  • Managing legal processes for contract lifecycle management.

Preferred:

  • In-house legal experience in the hospitality, restaurant, real estate or retail industries.
  • Demonstrated success in developing legal processes to streamline negotiations and contract execution.

 

Work Environment/Physical Demands: General office environment where you will walk, bend, and stand for periods of time.

The approximate pay range for this position is $150,000- $200,000 annually. Please note that the pay range provided is a good faith estimate for the position at the time of posting. Final compensation may vary based on factors including but not limited to background, knowledge, skills, and abilities as well as geographic location of the position.
